Reinhart Marville Torre advised ABC Group on the restructuring of its capital and the governance transition that led to the appointment of Rabah Chabane as the group’s president, succeeding its founder, James Christian Bany.
ABC Group completed a Management Buy-Out (MBO), marking a new phase in its development. This transaction follows a prior minority Leveraged Buy-Out (LBO) conducted two and a half years ago. Historical investors Rives Croissance and BPI France reinvested alongside BNP Paribas Développement, which joined as a new investor.
With over 250 employees, ABC Group has established itself as a key player in the hair and beauty accessories market. The company collaborates with renowned brands such as Franck Provost, Jean Louis David, Disney, Warner Bros, and Mattel, while also offering a diverse range of products including brushes, combs, creams, and nail polish. The group has further strengthened its presence in the electro-beauty segment with its Demeliss brand, which is widely distributed in major retail chains and well-established on digital platforms.
This transaction marks the beginning of a governance transition for ABC Group. After nearly 30 years as president, James Christian Bany is reducing his ownership stake while remaining a significant shareholder and key player within the group. Rabah Chabane, supported by the management team, is taking the lead as the majority shareholder through ABC Manco, underscoring his long-term commitment to the group’s development strategy.

With a strategic vision and keen market insight, he has solidified ABC Group’s position as a leading player in the beauty industry across mass retail, specialty stores, digital platforms, and selective distribution channels. This has been achieved through innovative partnerships and the successful launch of highly recognized product lines.
